BlackListed LLC – Beat Exclusive Sale Terms & Conditions

1. Exclusive Ownership

  • Upon purchase, the Buyer receives exclusive rights to the Beat titled [Beat Title Autofill Variable] (“the Beat”).
  • This includes delivery of the full stereo mix (.mp3/.wav) and tracked-out stems.
  • The Beat is removed from public sale following purchase.

2. Rights Granted

The Buyer may:

  • Use the Beat for commercial releases (albums, singles, EPs, mixtapes, etc.).
  • Monetize the Beat through streaming, sales, performances, and other revenue-generating activities.
  • Edit, rearrange, or adapt the Beat for creative use.

3. Rights Reserved

BlackListed LLC retains the right to:

  • Receive proper publishing splits on the composition if the Beat is released commercially (to be agreed upon in writing between Buyer and Seller).
  • Be credited as “Produced by Matias Kirsch / BlackListed” on all public releases, metadata, and promotional material.
  • Restrict resale, sublicensing, or re-licensing of the Beat by the Buyer.

4. Restrictions

  • Buyer may not resell, lease, or redistribute the Beat as standalone audio files, sample packs, or in any way that competes with the Seller.
  • Buyer may not falsely claim production credit.
  • Buyer may not use the Beat for unlawful, defamatory, or hate-related content.

5. Sync & Major Use

  • Any synchronization (TV, film, ads, video games, trailers, or placements with major labels/publishers) requires direct clearance from BlackListed LLC.

6. Delivery & Proof

  • The Buyer will receive digital delivery of the Beat in [Autofill: .zip contents] format.
  • A PDF receipt/license will be auto-generated with Buyer name, email, and date of purchase as proof of ownership.


7. No Refunds
All sales are final and non-refundable, due to the digital nature of the product and transfer of exclusive rights.

 

 


8. Governing Law

This Agreement shall be governed under the laws of [Texas] and the United States.
